The Legal Manager is responsible for administering the Company’s key contracts, overseeing the risk management system and reviewing compliance with relevant legislation, advising on legal issues as and when they arise, including acting in relation to disputes or actions on behalf of the company, instructing lawyers in specialist disciplines where necessary, and drafting and maintaining relevant operational and governance policies.
Legal and contract management
Create and administer the Company’s contract register, and ensure LAA meets their contractual obligations.
Create and review and continually develop/improve any necessary template contracts.
Prepare the initial drafting of key contracts including employment, service provider, sponsorship and corporate partner agreements.
Assist with the provision of legal analysis and interpretation of key contracts.
Drafting and maintaining relevant operational and governance policies.
Liaise with external legal firms as required.
Manage the contract execution process.
Research issues that arise including relevant legislation or regulations as directed by the Chief Executive Officer.
Develop, monitor and support legal compliance and policy & procedure development including but not limited to issues that can arise in a sporting specific context such as, children’s issues and rights, privacy, protection, employment, volunteers, discrimination, family law issues, negligence, crime, anti-doping, and cyber safety.
Assist the company secretary with maintaining the company records ensuring compliance with the Corporations Act 2001, and meeting ASIC lodgement requirements, including:
Directors and officers
Take minutes of board meetings and sub-committee meetings.
Insurance and Risk Management
In conjunction with the audit and risk committee, assist with the development of the Company’s risk management program.
Monitor and regularly update the Company’s risk register and risk mitigation plans.
Prepare a risk management report for inclusion in regular Board reports.
Manage all insurance requirements, ensuring the Company has adequate cover for all key business risks.
Ensure policies and procedures are in place to ensure requirements of insurance policy are met (e.g. seek approval of insurer for indemnities in contracts prior to execution).
Ensure policies and procedures are in place to obtain evidence of insurance held by key suppliers and service providers.
Manage any insurance claims.
Maintain strong records management practices over all hard and soft copy documentation.
Protect the security of confidential information.
Assist the Chief Executive Officer and finance team members with ad hoc tasks as required.
Assist with operational activities and events if required.
